CONFIDENTIALITY


Intracoastal Transportation, Inc's success is dependent on our ability to bring ideas and innovations to market; consequently, confidentiality is of paramount importance. As a Intracoastal Transportation, Inc employee, you may be given access to information regarding Intracoastal Transportation, Inc's products, processes, services, or other business matters which are not generally known in the marine industry. Such information is considered proprietary and confidential by Intracoastal Transportation, Inc, and must be handled in strictest confidence. This information must not be revealed to outsiders or Intracoastal Transportation, Inc employees without appropriate authorization from Intracoastal Transportation, Inc.


Confidential information is information concerning Intracoastal Transportation, Inc or its clients, partners, customers, and competitors that is generally unavailable to the public. Confidential information may include, but is not limited to, information about research, development, inventions, personnel information, vessel plans, accounting, marketing, sales, business relationships, and employment. All Intracoastal Transportation, Inc employees have a continuing obligation to protect Intracoastal Transportation, Inc's confidential information. Therefore, employees are prohibited from accessing file servers or any other repositories of company information for which they are not specifically authorized.


From time to time, other companies reveal their confidential information to Intracoastal Transportation, Inc, and Intracoastal Transportation, Inc may develop confidential materials unique to partners or customers that have retained Intracoastal Transportation, Inc's services. Depending on the terms of the specific agreement with the other company, Intracoastal Transportation, Inc employees with access to such information may be required to keep it confidential and may also be precluded from using that information for purposes other than those stated in the agreement.


In their work for Intracoastal Transportation, Inc, Intracoastal Transportation, Inc employees are not to use or disclose proprietary or confidential information or trade secrets of any former or current employer or other person or entity with whom they have any agreement or duty of confidentiality. Employees are not to bring onto Intracoastal Transportation, Inc premises any document, sample, prototype, computer program, or proprietary information of any other employer, person, or entity that is not available to the general public.

At the time of employment, and as a condition of employment, all employees are required to sign an agreement containing a confidentiality and non-disclosure provision. The agreement may be modified from time to time, and Intracoastal Transportation, Inc may ask that all current employees cooperate in the execution of a new agreement at any time during employment.


All Intracoastal Transportation, Inc press releases, publications, speeches, or other official declarations must be approved in advance by the President or the highest level manager with communication responsibility. All media inquiries must be directed to the President for an appropriate response.


All inquiries or references concerning current or former employees must be referred to the Human Resources Department for response in accordance with Intracoastal Transportation, Inc policy.


Protecting Customers' Confidential Information
In providing services to a customer, Intracoastal Transportation, Inc employees may access information a customer regards as confidential. This information may include items such as a customer's business strategy or its client lists.


Intracoastal Transportation, Inc chooses to treat its customers professionally by protecting their confidential information from disclosure to third parties. Additionally, we may have specific legal and contractual obligations not to disclose information our customers' regard as confidential. To help ensure Intracoastal Transportation, Inc complies with this policy of protecting customers' confidential information, TowBitts (our knowledge management repository for consulting project materials) has been designed with confidentiality reminders and access controls.
Even with these controls in place, each employee needs to be continually aware of the obligation to protect a customer's confidential information.


If an employee has a question about whether a consulting document stored on TugBitts contains customer-confidential information, or how confidential information could be removed from a document, the employee can contact Intracoastal Transportation, Inc's Knowledge Librarian at knowledge@IntracoastalTransportation.com. Employees can also contact the Intracoastal Transportation, Inc Legal Department for assistance in identifying whether any information is confidential or determining appropriate uses of any information.
